Simple, clear terms for website projects with Oleksandr.team.

Note: Submitting the website request form and agreeing to these Terms does not create an obligation to hire Oleksandr.team or a binding service agreement. A binding agreement for a specific project is formed only when project scope and pricing are proposed and confirmed in writing by both parties.

1. Scope of work

The project includes only the work described in the approved scope (pages, sections, features). Any new features or major changes are considered additional work and may require extra time and cost.

2. Project timeline

Timelines depend on the scope and on how fast the client provides content and feedback. Delays in content/feedback may shift delivery dates.

3. Client responsibilities

  • Provide accurate text, images, logos, and other materials (or request help with content).
  • Review previews and give feedback within a reasonable time.
  • Confirm approvals (design approval, final approval) in writing (message/email is enough).

4. Payment & milestones

Option 1 (with launch support):

  • 30% - project start (booking + kickoff)
  • 40% - after design/result approval
  • 30% - before website publication (launch)

Option 2 (no launch support / code handoff):

  • 30% - project start (booking + kickoff)
  • 40% - after design/result approval
  • 30% - before code transfer to client

5. Revisions

Reasonable revisions are included during the active build stage. After final approval/launch (or code transfer), changes may be billed as additional work.

6. Launch / publication

“Launch” means publishing the website to the live domain/hosting (or delivering final files if you handle hosting). The final milestone payment is due before launch or before code handoff (depending on the chosen option).

7. Ownership & usage

After full payment, the client owns the final website files/design deliverables included in the scope. Oleksandr.team may showcase the project in the portfolio unless the client requests privacy in writing.

8. Third-party costs

Domain, hosting, premium plugins, fonts, stock photos, and other third-party services are paid by the client unless stated otherwise.

9. Refunds & cancellations

Deposits and milestone payments cover time reserved, hours worked, and resources allocated to the project up to the point of cancellation. If the client cancels the project before completion, Oleksandr.team will assess the work completed and delivered against the approved scope and milestones reached, and refund any amount paid that exceeds the value of that completed work.

Work already completed, delivered, or actively in progress at the time of cancellation remains payable and is not refundable. Refund requests must be submitted in writing (email is enough) within 14 days of the cancellation date, and any refund due will be issued within a reasonable time after the completed work has been assessed.

9a. Non-Payment & Forfeiture of Deliverables

Work begins only after the initial deposit (Milestone 1) is received. If any subsequent milestone payment is not received within 30 days of its due date - regardless of promises, excuses, or partial communication from the client ("I'll pay tomorrow," unresponsiveness, etc.) - Oleksandr.team may treat the project as abandoned and terminate the engagement without further notice.

In that case:

  • All amounts already paid are retained by Oleksandr.team as payment for work performed and are non-refundable.
  • Ownership of all design work, code, and deliverables created by Oleksandr.team (excluding content, images, logos, trademarks, or text originally supplied by the client) reverts to and is retained solely by Oleksandr.team.
  • Oleksandr.team may use, modify, reuse, repurpose, or showcase such deliverables - including in its portfolio - at its sole discretion, without further consent from or compensation to the client, except that Oleksandr.team will not publicly display the client's business name, logo, or trademark in a way that implies an active, completed, or endorsed working relationship, unless separately consented to under the Ownership & Usage section.
  • The client's right to receive final files, source code, or the launched website is permanently forfeited once this clause is triggered, and is not restored by late payment unless Oleksandr.team agrees in writing to resume the project on new terms.

This clause does not apply to Additional Work billed separately under Section 11.

10. Warranties & Disclaimer

Oleksandr.team builds the website according to the approved scope, using current best practices for responsive design, performance, and SEO-friendly structure. Beyond the Bug Fix Window described below, the website is delivered "as is," without warranties of uninterrupted or error-free operation, compatibility with every future browser or device, or specific business outcomes (such as search rankings, traffic, leads, or sales). Search engine rankings and third-party platform behavior depend on factors outside our control and are not guaranteed.

11. Bug Fixes vs Additional Work

Bug Fix Window (30 days). For 30 days after final delivery/launch, Oleksandr.team will fix, free of charge, any defect where previously approved and delivered functionality does not work as agreed in the approved scope. This does not cover new features, content changes, design changes, or issues caused by the client (or third parties) editing the site, third-party service outages, or hosting/domain changes made after handoff.

Additional Work. Any work requested by the client after final project approval - including new features, design changes, content updates beyond the original scope, or modifications to previously approved functionality - is classified as Additional Work and is billed separately from the original project fee, using a tiered structure based on complexity and estimated time:

  • Minor Fix (approx. $25-$40, typically within 1 business day): small text edits, image swaps, color/style adjustments, minor layout tweaks that do not require new functionality.
  • Medium Addition (approx. $75-$150, typically within 2-3 business days): adding a new content block or section to an existing page, integrating a pre-built third-party widget (e.g., booking form, chat widget), or adjusting existing functionality to work differently than originally scoped.
  • Major Addition (quoted individually as a standalone mini-project): new pages, new custom functionality, significant redesign of a section or the entire site, or integrations requiring custom development.

For any Additional Work request, Oleksandr.team will provide the applicable tier, estimated price, and estimated turnaround before starting. Work will not begin until the client confirms the scope and price in writing (email or the messaging platform used for the project) - verbal or informal requests without written price confirmation are not treated as authorization to bill for Additional Work.

12. Limitation of Liability

To the maximum extent permitted by law, Oleksandr.team's total liability arising out of or related to a project is limited to the total amount actually paid by the client for that project. Oleksandr.team is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or lost business opportunities, even if advised of the possibility of such damages.

13. Client Indemnification

The client agrees to indemnify and hold Oleksandr.team harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: content, text, images, logos, or other materials supplied by the client that infringe a third party's rights or violate applicable law; the client's use of the website after delivery in a way that violates these Terms or the law; or inaccurate information provided by the client during the project.

14. Third-Party Services & Uptime

The website may rely on third-party services chosen by the client or recommended by Oleksandr.team, such as domain registrars, hosting providers, form-processing services, plugins, fonts, or stock content providers. Oleksandr.team does not control and is not responsible for the uptime, pricing, policies, security, or data handling of these third-party services, or for outages, errors, or data loss originating from them. After handoff or launch, the client is responsible for maintaining and renewing their own domain, hosting, and third-party subscriptions.

15. Force Majeure

Neither party is liable for delays or failures to perform caused by events beyond its reasonable control, including natural disasters, internet or infrastructure outages, power failures, acts of government, or other similar events. The affected party will notify the other as soon as reasonably possible, and timelines will be extended by a period reasonably related to the delay.

16. Independent Contractor

"Oleksandr.team" is a trade name used by Oleksandr Deineko, operating as an independent contractor (sole proprietor); it is not a registered LLC or corporation. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the client and Oleksandr.team. Oleksandr.team is engaged solely as an independent contractor for the scope of work described in the approved project.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles. If a dispute arises, both parties agree to first try to resolve it informally through good-faith discussion (email is enough). If it cannot be resolved informally, the dispute will be subject to the exclusive jurisdiction of the state or federal courts located in Michigan.

18. Entire Agreement

These Terms, together with the approved scope, proposal, or written agreement for the specific project, constitute the entire agreement between the client and Oleksandr.team and supersede any prior discussions or understandings on the same subject. Any changes to these Terms must be made in writing (email is enough) and confirmed by both parties. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
